Introduction

PLEASE READ THESE TERMS OF USE (“Terms”) CAREFULLY. These Terms form a legal agreement between Stressfree Technology Nigeria Limited (“Stressfree”, “We”, “Us”, “Our”) and you. By clicking on “I Accept” or “I Agree”, or by downloading, installing, or otherwise using our Services, you accept and agree to be bound by these Terms. If you do not agree to these Terms, do not click “I Accept” or “I Agree”, or download, install our application, visit our site/platform, or use the Services. These Terms, together with the User Agreement found on our sites and platforms, constitute the entire understanding and agreement between us regarding the subject matter herein and supersede all earlier agreements, understandings, and representations. Any prior representations, warranties, statements, or assurances not expressly set out in these Terms or the User Agreement will have no effect.

Definitions

• Company or “We” or “Stressfree” shall mean Stressfree Technology Nigeria Limited, a company incorporated under the Laws of the Federal Republic of Nigeria with its registered office at 29, Admiral Gabriel Okoi Street, Ikate, Lagos State.
• Device means computer equipment or mobile phone with which you access the Platform and/or use our Services.
• Online Stores shall mean Windows Store, Android Google Play, iOS App Store, or any other online store or portal where the Platform is made available by the Company to Users, from time to time.
• Platform shall mean the App and the Website collectively.
• Stressfree Platform shall mean the website or online platform created, developed, and designed by the Company for providing these Services.
• Stressfree Account or User Account shall mean the account registered on the Platform by the User.
• Services shall mean the aggregation of service providers, independent contractors, and job seekers, and the facilitation of engagement of service providers and independent contractors by clients.
• Third Party shall mean any individual, association, partnership, firm, company, corporation, consultant, subcontractor, or combination thereof, including joint ventures, that is not a party to this Agreement.
• User or “You” shall mean any person who accesses, downloads, uses, or views the Platform and the Services rendered on it.
• User Data shall mean any data, information, documents, or materials submitted by the User to the Company prior to or during the use of the Platform.
• Website shall mean stressfreeng.com, managed and operated by the Company for the provision of Services.

Use of the Platform

To use the Platform, you must:

• Accept and agree to these Terms, the User Agreement (where applicable), and our Privacy Policy;
• Register with us on the Platform;
• Provide all requested information, such as your name, email address, and other details as may be requested from time to time (“User Information”).

Registration and Onboarding: Where registration is required, you must provide accurate and complete information and update it as necessary. You are responsible for maintaining the confidentiality of your account details and ensuring no unauthorized access occurs. You must:

• Not assist unauthorized users in accessing the Platform;
• Submit to verification of all KYC documentation as required;
• Not use your account for illegal or prohibited activities;
• Notify us immediately of any unauthorized access or loss of account information;
• Comply with these Terms at all times.

By opening a Stressfree Account, you warrant that you are at least 16 years old, have full capacity to enter into these Terms, and will not use the Platform for illegal purposes or to circumvent our controls.

Identity Verification

Stressfree implements robust Know Your Customer (“KYC”) processes to combat fraud and prevent money laundering and terrorist financing. You may be required to provide personal details and documents for Identity Verification or Enhanced Due Diligence (EDD). We reserve the right to restrict, suspend, or terminate your account if false information is provided or if you fail to comply with verification requirements. Information provided will be retained as required by law, even after account closure.

User Eligibility

Our Services are available only to individuals or companies who can form legally binding contracts under applicable law. Users must be at least 16 years old. You are responsible for ensuring compliance with laws in your jurisdiction, including those related to taxes or employment. We are not responsible for unauthorized use by minors or for verifying your knowledge or experience.

Services

Stressfree operates a digital marketplace for sourcing and procuring independent contractors, including professionals and artisans. The Platform connects service providers with clients. By using our Services, you authorize us to collect, authenticate, track your location, and verify User Data as required. You must provide accurate and complete User Data during registration, and we may import data from Third-Party Platforms. All data is processed in compliance with the Nigerian Data Protection Act 2023 and Nigeria Data Protection Regulation 2019.

Stressfree is committed to managing your personal information in line with global industry best practices. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Fees and Billings

Please refer to our User Agreement for details on service fees and billings. Fees or commissions charged on the Platform do not include bank charges, stamp duty, or other legal/regulatory fees, which are your responsibility.

Communication

Any communications you send through the Platform, including data, questions, comments, or suggestions, will be treated as non-proprietary and non-confidential. By accepting these Terms, you grant Stressfree a license to use such communications for any purpose, including developing and marketing products. We may monitor your communications to evaluate service quality, ensure compliance, or for security purposes, without liability.

Confidential Land Data Security

You own all data entered into the Platform and are responsible for its accuracy and reliability. We are authorized to collect, store, and track User Data for service provision, in compliance with the Nigerian Data Protection Act 2023 and NDPR 2019. Daily backups are retained for 60 days and then deleted. You guarantee that your data does not breach third-party rights and indemnify us against any related claims. A Data Processing Agreement is included with your subscription.

Account Security

You are responsible for maintaining the security of your Stressfree Account, including passwords and two-factor authentication. We are not liable for unauthorized access due to your failure to secure your account. You must use reputable virus protection software and verify the authenticity of communications purporting to be from Stressfree.

License

We grant you a limited, non-exclusive, non-transferable, non-sub-licensable, and revocable license to download, install, and use the App for personal, non-commercial use. The App is licensed, not sold, and must be used in accordance with these Terms. We may provide maintenance or updates at our discretion, but we are not obligated to do so.

Restrictions

You agree not to:

• Use the Platform for fraud, money laundering, or illegal purposes;
• Reproduce, duplicate, or exploit any portion of the Platform;
• Post unlawful, harmful, or defamatory content;
• Impersonate others or forge identifiers;
• Upload content that infringes intellectual property rights;
• Disrupt the Platform or other users’ experiences;
• Violate any applicable laws or regulations.

Proprietary Properties of the Company

Stressfree owns all rights, title, and interest, including intellectual property rights, in the Platform, Services, logos, and related software, except for third-party logos and trademarks. No transfer of ownership occurs under these Terms. Unauthorized use of proprietary materials may violate intellectual property laws.

Financial Advice

Information provided on the Platform or through your Stressfree Account does not constitute professional financial advice. You should seek independent advice before making decisions.

Links to Third Parties

The Platform may contain links to third-party websites not controlled by Stressfree. We are not responsible for their content, security, or privacy practices. Your use of such websites is at your own risk, and you should review their terms and conditions.

Closure of Stressfree Account

You may request to close your Stressfree Account via the Help Centre, provided no transactions have occurred for 90 days and there are no suspicious activities. Upon closure, you will lose access to your account, and we may delete or retain your data as required by law. We are not liable for any consequences of account closure.

Restriction, Suspension, and Termination

We may restrict, suspend, or terminate your Stressfree Account if:

• We suspect operational errors, fraud, or illegal activities;
• Your account is associated with money laundering or financial crimes;
• You attempt to circumvent our controls or gain unauthorized access;
• Your account is subject to legal or regulatory processes;
• Your name appears on a sanctions list.

We will attempt to notify you unless prohibited by law or security concerns. All outstanding obligations become due upon termination.

Disclaimer of Warranties

The Platform and Services are provided “as is” and “as available” without warranties of any kind, including merchantability or fitness for a particular purpose. You use the Platform at your own risk and are responsible for any damages or losses resulting from its use. We do not guarantee uninterrupted or error-free service.

Default and Default Remedies

An “Event of Default” includes failure to meet obligations, bankruptcy, false representations, suspected fraud, or government actions that prevent service provision. Upon an Event of Default, we may restrict your account, cancel benefits, or take legal action to recover losses.

Indemnity

You agree to indemnify Stressfree and its affiliates against claims arising from your violation of these Terms, misuse of the Platform, or violation of applicable laws. We will indemnify you against third-party claims that the Platform infringes their intellectual property rights, provided the claim does not arise from misuse or unauthorized modifications.

Limitations of Liability

Stressfree is not liable for direct, indirect, incidental, or consequential damages resulting from your use of the Platform, including technical issues, service interruptions, or third-party actions. Our liability is limited to the fees earned from your account in the one-month period preceding any claim.

Force Majeure

We are not liable for failure to perform due to events beyond our control, including strikes, natural disasters, or government actions. Performance will be suspended for the duration of such events, with an extension of time granted.

Notice

Notices from you must be sent to info@stressfreeng.com. We may send notices to the email or postal address provided during registration. Notices are deemed received 24 hours after an email is sent or five days after posting a letter.

Unfair Competition

You may not use the Platform, documentation, or our intellectual property to create a competing product or service or to benchmark against non-Stressfree products or services.

Changes to These Terms

We may modify, suspend, or update these Terms at any time by posting the revised Terms on the Platform. Changes are effective immediately upon posting, and your continued use of the Platform constitutes acceptance of the revised Terms.

Violations

Please report any violations or grievances related to these Terms to info@stressfreeng.com.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. Any waiver must be expressly stated in writing to be effective.

No Partnership or Agency

You and Stressfree are independent contractors. Neither party has authority to act on behalf of the other or represent itself as an agent, partner, or joint venturer of the other.
