Introduction

This User Agreement (“Agreement”) governs your access to and use of the Stressfree web platform and mobile application (collectively, the “Platform”), including any content, functionality, and services offered on or through the Platform (“Services”). This Agreement is a legally binding contract between you (“you”) and Stressfree Technology Nigeria Limited (“Stressfree”, “we”, or “us”), outlining your legal rights, remedies, and obligations. By using the Platform, opening an account, or accepting our Terms and Conditions, you agree to be bound by this Agreement. If you do not agree, you must not access or use the Platform.

• If acting on behalf of a business or entity, you confirm you have authority to agree to the Terms and Conditions.

About Us

Stressfree is a marketplace connecting Clients and Professionals (e.g., beauticians) to advertise, patronize, and provide Services online. We host and maintain the Platform, facilitate service relationships, agreements, payments through escrow, and assist in resolving disputes, subject to our Terms and Conditions.

Accounts

To access our Services fully, you must register for an account, subject to our approval. Key account-related policies include:

• Registration: You must provide accurate personal information and update it as needed. We may decline registration for lawful reasons.
• Eligibility: The Platform is for users who are at least 18 years old or 16 with parental/guardian permission. Services are for business purposes only, and you must comply with applicable laws.
• Account Types: We offer User and Vendor Accounts. Vendors must submit KYC documents (e.g., government ID, live photo) for approval.
• Permissions: You are responsible for all account activity and must not allow unauthorized account creation or use.
• Verification: We may verify your identity, location, and business affiliations using third-party databases or official documents.
• Credentials: Safeguard your username and password, and notify us immediately of any unauthorized use.

Relationship with Stressfree

Stressfree is a marketplace, not a party to User agreements. You are responsible for:

• Evaluating and verifying other Users and Service Contracts.
• Negotiating and performing under agreements.
• Stressfree does not supervise, control, or guarantee Vendor Services, nor does it create employment or agency relationships.
• Any badges or feedback on profiles do not guarantee quality or performance.

Service Contracts

Service Contracts are direct agreements between Clients and Vendors. Key points include:

• Users decide contract terms, which must not conflict with Stressfree’s Terms and Conditions.
• Optional Service Contract Terms may apply unless overridden by other agreements.
• Disputes are resolved via the Platform’s chat system with Stressfree agents.
• Confidential Information shared between Users must be protected, with obligations to destroy or return it upon request.

Intellectual Property

Intellectual Property Rights are handled as follows:

• Upon full payment, Clients receive all Intellectual Property Rights in delivered work, with Vendors assigning copyright and waiving moral rights.
• Vendors retain ownership of content they create but grant Stressfree a non-exclusive, royalty-free license to use it for Platform operation and marketing.
• Vendors must obtain client consent for using client images and are liable for unauthorized use.
• Platform content (e.g., branding, software) remains Stressfree’s property, and unauthorized use is prohibited.

Payment Provisions

Payments are processed as follows:

• Users must use Stressfree’s prescribed Payment Methods (e.g., bank transfer).
• Vendors set service prices; Stressfree deducts a 10% commission and settles payments on a T+3 basis.
• Clients pay a N1,000 service charge per transaction.
• Disputes must be reported within three business days via the Platform’s chat system.
• Users must not circumvent the Platform for payments, under penalty of account suspension.

Warranty Disclaimer

Stressfree provides Services “as is” and “as available” without warranties of uninterrupted or error-free operation. We disclaim all implied or statutory warranties, including title, accuracy, non-infringement, merchantability, or fitness for a particular purpose.

Limitation of Liability

Stressfree is not liable for damages or losses related to:

• Your use or inability to use the Platform or Services.
• Delays, disruptions, or inaccuracies in the Platform.
• Third-party actions, content, or misuse of Services.
• Account suspension or reliance on Platform information.

We are not liable for special, consequential, incidental, punitive, or indirect damages.

Indemnification

You agree to indemnify and hold Stressfree harmless from claims, damages, or losses arising from:

• Your use of Services or failure to comply with Terms and Conditions.
• Your content, Service Contracts, or violation of third-party rights.
• Negligence, misconduct, or fraud by you or your agents.

Termination

Either party may terminate this Agreement with written notice. Termination does not affect open Service Contracts. Stressfree may revoke access if:

• You breach the Agreement or provide false information.
• Your actions cause legal liability or involve illegal activity.
• We are required by law or law enforcement.

Upon termination, account data may be deleted, and certain obligations (e.g., indemnification, non-circumvention) survive.

Dispute Resolution

Disputes with Stressfree are resolved through:

• Informal Resolution: Notify the other party via email, with 60 days to resolve informally.
• Mediation: If unresolved, disputes are referred to mediation at the Lagos State Multi-Door Court House (LMDC).
• Governing Law: The Agreement is governed by Nigerian law, except for Vendors outside Nigeria, where their jurisdiction’s law applies.

General

Additional terms include:

• Entire Agreement: This Agreement and Terms and Conditions supersede prior agreements, except for executed Premium Agreements.
• Modifications: Stressfree may amend terms with reasonable notice for substantial changes.
• Force Majeure: Neither party is liable for delays due to events beyond their control (e.g., pandemics, wars).
• Access Outside Nigeria: Users outside Nigeria access the Platform at their own risk, ensuring compliance with local laws.
• Electronic Records: You consent to receive communications electronically.
